• Advising and proceeding merge procedures for two Japanese-invested enterprises which own motor vehicle and parts factory in Noi Bai Industrial Parks (Hanoi). To the same client, we provide a variety of advisory services for the cooperation with vehicle manufacturers such as Vespa, Piagio and Honda. In addition, we assisted them in management and employment disputes resolution as other clients operating in industrial parks.

• Advising on restructuring and changing the ownership of a French enterprise manufacturing and processing fashion accessories company in Long Thanh Industrial Parks, Dong Nai province. In the transaction hereof, we have assisted clients optimize tax and legal procedures.

• Advising shareholders of a domestic enterprise manufacturing feed mill in Ha Nam Province to transfer their entire shares to Singaporean investor. In advance of the M&A transaction, we have consolidated all legal documents related to shareholders and their contribution capital rights; assisting clients in seeking partners to consolidate financial and tax records and protecting the advising results before authority. During the implementation of the enterprise M&A contract, we have supported clients in preparing documents, explaining the content of legal documents related to human resources, labor, tax, environment, investment, construction, land and other properties to the foreign investors. The finalization of transactions earned our clients a value of 8 million US Dollars.

• Advising, representing and assisting a Korean textile and garment enterprise in Bac Giang Province in cooperation with a domestic enterprise in Nam Dinh Province to export processing textiles. We also provide client with legal support in two lawsuits in Bac Giang Province to solve issues under processing contracts with Vietnamese enterprises and recover compensation.

• Advising on drafting labor regulations, collective labor agreement for a Japanese-invested manufacturing company in Thang Long Industrial Park (Hanoi); registering the documents hereof to Hanoi Management Board of Industrial Parks.

• Advising on behalf of clients to settle disputes on construction contracts for textile factories in Quang Chau Industrial Park - Bac Giang Province for Hong Kong invested-client.

• Advising a foreign loan contract for a domestic company in Tien Son Industrial Park, Bac Ninh Province from a Hong Kong partner company to invest in manufacture factories and auxiliary works of tobacco fiber manufacturing and processing.

• Advising and providing legal support to a Swiss foreign-invested company operating in the paint manufacturing industry in My Phuoc 2 Industrial Park, Binh Duong Province in the adjustment of investment project content; assisting them in reviewing template of contracts in business transactions.

• Providing regular legal advisory service for an enterprise owning 2000ha supporting industrial park in Phu Xuyen District, South of Hanoi in the investment into infrastructure & works on land construction, executing land lease contracts in industrial park, cooperating with partners for capital mobilization, selling project goods, etc.

• Providing regular legal advisory service for a Vietnamese enterprise manufacturing plastic packaging in Hung Yen province with scale of more than 200 employees.

• Providing long-term legal advisory service and ad-hoc service for assisting 01 Chinese enterprise in the acquisition of a carton manufacturing and pallet packaging factory in Hai Duong Province.  

• Providing long-term legal advisory service for a company investing an industrial waste treatment factory in Ho Chi Minh City.

• Advising under monthly legal service contract for a pharmaceutical manufacturing company in Ho Chi Minh City.

• Advising and supporting investment procedures for operating a manufacturing factory, supporting land acquisition, applying for a land ownership certificate, building a food factory in Hoa Binh Province.
