LAWPRO Law Firm's clients are manufacturing enterprises operating in industrial zones, export processing zones. Its products are from mechanical production for supporting industries of cars, motorbikes, electronic component manufacturing, production and processing of garments, export fashion, animal feed production.

Through the consulting process for above clients, we understood deeply these specific manufacture and legal issues of manufacturing enterprises. Our experiences are obtained after legal service for clients as follows:

1. Advised and implemented procedures for merging two Japanese-invested enterprises with spare parts factories for Honda Company in Noi Bai industrial zone (Hanoi). This is one of our first M&A consulting deals in the mid-2000s. We also provided many consulting services related to model cooperation OEM - ODM between them and other motorcycle assembly companies such as Vespa and Piagio; Consulted on labor law related to strikes and resolved crisis from strikes; Consulted on technology transfer for manufacturing motorbike gaskets and car gaskets for Nippon Group; Advised and revised purchase and sale contracts of industrial products for the production.
2. Advised on restructuring and changing owner for a French company producing and processing fashion accessories in Long Thanh industrial zone, Dong Nai province. In this case, we helped clients optimize tax issues and legal procedures.
3. Advised clients who are shareholders of a feed production enterprise in Ha Nam province to transfer all their shares to foreign investors (Singapore). Before the M&A transaction, we have completed the legal documents for enterprise related to shareholders and the right to contribute capital of shareholders; Assisted clients in finding partners to consolidate financial and tax records and feedbacked the consulting results. In the process of implementing a business contract, we have assisted clients in preparing documents, explaining to the foreign investorslegal documents related to human resources, labor, tax, environment, construction investment, land and assets. Successful transactions brought our clients a value of 8 million US dollars.
4. Advised,represented and assisted a Korean-invested textile and garment enterprise in Bac Giang province to carry out cooperation activities with a domestic enterprise in Nam Dinh province to process textiles for export. We also provided legal services to this client in two lawsuits in Bac Giang province to resolve dispute under processing contracts with Vietnamese businesses. We have won the lawsuit and the client has received their compensation
5. Advised on the drafting of internal labor regulations, collective labor agreements for a Japanese-invested manufacturing company in Thang Long Industrial Zone (Hanoi); registered the above documents with the Industrial Zones Authority in Hanoi.
6. Advised and represented to resolve disputes on construction contracts of textile factories in Quang Chau Industrial Zone - Bac Giang province for client who are Hong Kong-invested enterprise.
7. Advised a foreign loan contract for a domestic enterprise in Tien Son Industrial Zone, Bac Ninh province in dealing with a partner company in Hong Kong to invest in production facilities and auxiliary works of investment project on manufacturing and processing tobacco fibers.
8. Advised and provided legal services for a Swiss foreign-invested company operating in the paint manufacturing industry in My Phuoc 2 Industrial Zone, Binh Duong Province in adjusting their investment project in Vietnam; Assisted clients to revise sample contracts in business transactions.
9. Advised and assisted the investor of a supporting industrial zone in the south of Hanoi, which covers a 2000 hectares area in Phu Xuyen District, to carry out investment in construction of infrastructure and works on land; Advised on leasing contracts land in industrial zone.
