EXPERIENCE ON ADVISING PROJECT TRANSFER

Our experiences contributed to the success of transactions when we companied clients from the beginning.

• Industrial production project: We have consulted on acquisition of a cement factory in Quang Ninh province from an equitized state-owned enterprise; Advising the merge of 02 Japanese automobile auxiliary enterprises in the industrial zones in Hanoi; Transaction advisory for Chinese investors to acquire a packaging factory in Hai Duong province; Providing capital transfer advice for a company trading in heavy industrial machinery in Hanoi in dealing with Korean investors;

• Hotels: Advising the transfer of the 5-star hotel project complex, office building in Thanh Hoa province to the companies of the oil and gas group; providing legal assistance in the transfer of a 4-star hotel and resort in an island of Quang Ninh province to a leading public real estate company in Vietnam; In 2020, we advised the acquisition of a tourism resort project enterprise in Tuyen Quang province;

• Real Estate Project: We advised many real estate companies in cooperation transactions, business purchase and sale, the transfer of office buildings, real estate projects in Hanoi and Hoa Binh. In 2020, we advised the transaction of selling capital in a real estate company in Hanoi to a public Japanese company; advising the sale of capital of a construction company and real estate brokerage to Korean investors;

• Energy: Since 2014 up to now, we have advised clients on transactions of receiving investment projects transfer, merging enterprises for hydropower projects in Son La and Dien Bien, Yen Bai, Gia Lai, Kon Tum, Binh Phuoc; supported the negotiation of the transfer of a few solar power projects in Ninh Thuan, Khanh Hoa. In 2019, we assisted a Vietnamese enterprise in transferring capital to a Japanese multinational company in the field of solar cell production and construction of solar power projects;

• Garment: Advising the sale of a leather factory for French high-end fashion brands in Binh Duong province to Luxembourg investors;

ADVISING SERVICES FOR THE SELLER IN PROJECT TRANSFER

• Check legal compliance, provide legal examination for enterprises, and check reporting regime related to investment projects of the target enterprises.

• Perform legal consolidation for the seller before performing M&A Transaction.

• Propose the transfer plan in accordance with the laws and objectives of the parties, including optimizing the seller's tax obligations and simplifying administrative procedures in M&A Transactions.

• Draft contracts and documents serving project transfer transactions.

• Implement investment procedures, land, environment, fire regulations when transferring.

• Assist the hand over of the projects, assets, legal and financial documents to the buyer during the M&A transaction.
